Foreign entrepreneurs often assume single-member U.S. LLCs require no tax filings if they earn no income. However, initial capital contributions, loans, or paid formation costs trigger mandatory IRS reporting.
The Regulatory Framework
Under 26 CFR § 1.6038A-1, foreign-owned single-member LLCs are treated as corporations for reporting purposes. They must file IRS Form 5472 and Pro Forma Form 1120 annually. Failure to file carries an automatic $25,000 penalty.
